Please read the Terms of Use for the Program carefully and in their entirety before purchasing and using Surviving to Thriving: The ADHD Reset (hereinafter referred to as the “Program”). The Program and its content are owned by Asha Coaching & Consulting.

1. Definitions:
“Company”, “We”, “I”, “Our”, or “Us” means Asha Coaching & Consulting
“Participation”, “Participating”, “Using”, or “Use” means reading, implementing, trying, or otherwise engaging in the Program.
“Program” means Surviving to Thriving: The ADHD Reset
“You”, “Your”, “User” or “Client” means the purchaser and person using the Program.

2. Consent:
By participating in the Program, you implicitly and voluntarily agree to act in accordance with, agree to, and abide by, these Terms of Use.

3. DISCLAIMER:
By participating in the Program, you understand that Priyanka Rao, PsyD, LP is acting as an ADHD coach and is not acting as a licensed psychologist. Participation in the Program does not establish a doctor-patient, therapist-client, or any legally protected healthcare relationship between Client and the Company. While Asha Coaching & Consulting is owned and operated by a Licensed Psychologist, this program is not mental health treatment. The Client understands that Asha Coaching & Consulting provides coaching and educational services only and that the Company is acting as an ADHD coach and educator, not as a therapist. This program is not a substitute for therapy, medical treatment, or ADHD medication management, and does not claim to cure or treat ADHD or any other mental health condition. Clients are encouraged to seek professional mental health services if they require therapy or medical care.

This Program is for informational and educational purposes only. The information and education provided in this Program is not intended or implied to supplement or replace the professional advice of an attorney, accountant, and/or financial advisor. You should consult with a professional in those areas (financial, legal, accounting, etc.) in person with someone where you live or work to discuss issues or questions pertaining to your particular legal, financial, or business situation.

Although we do our best to make sure all of the Program’s content is up to date and/or accurate, we do not make any representation that all the information is accurate or free of errors at all times. We do not assume any responsibility for accuracy of the Program’s information, or its safety or efficacy as it applies to you.

4. Assumption of the Risk:
You should use your best judgment in using the information provided in the Program, which is done at your own risk. It is your responsibility to discern the risk of using the Program or its content. You assume responsibility for your actions, choices, or lack thereof, related to the Program.

5. Intellectual Property:
A. Ownership: The Program and its content, including but not limited to video lessons, workbooks, worksheets, downloadable resources, frameworks, coaching methodologies, slide decks, templates, written materials, program design, and all other educational materials, are intellectual property owned by Asha Coaching & Consulting.

B. License Granted to You: Upon enrollment, Client is granted a limited, revocable, non-transferable, non-exclusive license to access and use the course content for personal use only. This license does not grant any ownership rights.
Â
C. Prohibited Uses: Client may not republish, reproduce, duplicate, copy, modify, share, sell, license, sublicense, upload, post, transmit, distribute, or create derivative works from any course content without express written consent from Asha Coaching & Consulting. Client agrees not to use any course content for commercial purposes, to develop a competing program, or in any way that earns them or a third party money based on Asha Coaching's intellectual property.

D. Your Contributions: By submitting any material during or in connection with the Program—including comments, feedback, testimonials, photos, videos, or other contributions through email, feedback forms, social media posts referencing the Program, or any other communication channel—you represent that you are the rightful owner of all such materials and are at least eighteen (18) years old.
By providing such feedback or testimonials, you grant Asha Coaching & Consulting a non-exclusive, irrevocable, royalty-free, perpetual, worldwide license to use such contributions—including written quotes, excerpts, or general statements about your experience—in anonymized form on social media, in promotional materials, or on the website for the purpose of highlighting the impact of the Surviving to Thriving program.
Anonymized use means: We may use your words, feedback, or testimonials without identifying you by name, photo, business name, or other personally identifying details. Examples include: "One student shared...", "A course participant said...", or presenting your feedback without attribution.
Identified use requires consent: Asha Coaching & Consulting will request your written consent before using your full name, first name, photo, likeness, business name, or any other identifying details in connection with your testimonial or feedback. We respect your privacy and will not publish identified testimonials without your explicit permission.

E. Legal Consequences: Any unauthorized use, reproduction, or commercial exploitation of course content will be treated as intellectual property theft. Asha Coaching & Consulting reserves the right to pursue all legal remedies, including but not limited to injunctive relief, monetary damages, and removal from the program without refund. All rights not expressly granted under these Terms are reserved by Asha Coaching & Consulting.

6. No Sharing:
You cannot distribute, copy, forward, and/or share the Program or its content with anyone else. Any violations of these Terms of Use will be legally pursued to the fullest extent permitted by law.

You may not share your password or login information with anyone. If you share your password or login with anyone who did not purchase the Program, you will be removed from the Program immediately and no refund will be issued.

7. No Claims Made Regarding Results:
Any and all current or past-client testimonials, statements, or examples used by us are simply that: examples. They are not guarantees that you will also experience or receive the same results. Each person and their circumstances are unique and nothing shall be interpreted as a guarantee that you will experience the same results as another client of ours.

We don’t make any assurances as to any particular financial-based outcome based on the use of or participation in the Program. We are not responsible for the success or failure of your business, business decisions, income, sales, or any other result of any kind that you may have as a result of your participation in the Program.

8. DISCLAIMER - No Warranties, Guarantees, or Representations Are Being Made:
We do not offer any representations, guarantees, or warranties, of any variety, regarding the Program in any way including, but not limited to, your future income, sales, potential, profitability, or losses derived as a result of your use of the Program. The Program is offered “AS IS” and without representations, guarantees, or warranties of any kind, including but not limited to, implied warranties of merchantability and fitness for a particular purpose, neither express nor implied, to the extent permitted by law. We are not liable for damages of any kind related to your use of the Program.

9. Your Release of Us, Indemnification, Hold Harmless:
To the fullest extent permitted by law, Asha Coaching & Consulting expressly disclaims liability for any direct, indirect, and/or consequential damages suffered by you related to your purchase or use of, or participation in, the Program, its materials, our website, or any other information obtained by you from us. By enrolling in the Program, you hereby agree to this limitation of liability and release Asha Coaching & Consulting from any and all claims.

By participating in and/or purchasing the Program, you agree to release, forgive, forever discharge, defend, indemnify, and hold harmless Asha Coaching & Consulting, our subsidiaries, employees, agents, contractors, subcontractors, shareholders, directors, officers, coaches, assignees, licensees, and affiliates from any and all claims, suits, actions, charges, demands, liabilities, damages, judgments, and/or costs, related to, or arising out of, your purchase of or participation in the Program and/or your breach of any obligation, warranty, covenant, or representation set forth in these Terms of Use.

By enrolling in the Program, you agree to release us from any and all claims, and further agree to at all times defend, indemnify, and hold harmless Asha Coaching & Consulting as stated in this section herein.

10. Our Refund Policy:
A. CONDITIONAL 14-DAY MONEY-BACK GUARANTEE:
Asha Coaching & Consulting wholly believes in the value of Surviving to Thriving: The ADHD Reset and the effectiveness of its methods when the Client is committed to the process. We offer a conditional 14-day money-back guarantee for clients who engage with the program in good faith and determine it is not suitable for them.
To qualify for a refund, you must:
1. Request the refund within 14 days of purchase date
2. Demonstrate good faith engagement with the course material, defined as:
- Completion of all videos in the “Start Here” introductory module
- Completion of all videos in Module 1
- Evidence of accessing/downloading course worksheets and resources (worksheets do not need to be completed perfectly, but must show evidence of access)
What does NOT qualify for refund:
1. Purchasing and immediately requesting a refund without accessing any content
2. Accessing only 1-2 videos and requesting a refund
3. Requesting a refund after the 14-day window has closed
4. Failure to demonstrate engagement with Start Here module and Module 1 as outlined above
To request a refund: Email hello@asha-coaching.com within 14 days of purchase with:Â
1. Your order number or email address used to purchase
2. A brief note (2-3 sentences) about why the course isn’t working for you

We will verify your engagement through our course platform analytics and process approved refunds within 5-7 business days to the original payment method. All refund requests will be reviewed and decided solely at the discretion of Asha Coaching & Consulting. If a refund is not granted, the Client understands they remain financially responsible for payment in full and have no further recourse regarding refunds.

Why this policy: This guarantee protects against impulsive purchases while giving you genuine time to evaluate whether this course works for your brain. We want you to have enough information to make an informed decision, which is why we ask that you actually engage with the material before deciding it’s not the right fit. This is a digital product. Once you’ve accessed the course content, you cannot “return” the information. This policy ensures fairness for both students and course creators.

Following this fourteen (14) day window, all sales will be considered final.
B. NO CHARGEBACKS:
The Client will not, under any circumstances, issue or threaten to issue any chargebacks to the Company or to the Client’s credit card and/or form of payment (ie, PayPal) for any reason whatsoever related to the Program. In the event of a chargeback, the Company reserves its right to report it to the credit bureaus as a delinquent account.

11. ARBITRATION CLAUSE:
If you have any complaint or should any issue arise in the use of the Program, please contact us directly first by emailing hello@asha-coaching.com.
Â
However, if we are unable to amicably resolve your dispute in that manner, you agree that you and Asha Coaching & Consulting shall submit your dispute to binding arbitration with the American Arbitration Association, before an arbitrator that is mutually agreed upon, in accordance with the American Arbitration Association’s (“AAA”) rules.

By agreeing to this term, you hereby agree and understand that you’re waiving your right to a jury trial in court, which would otherwise be available to you if not for this Arbitration Clause. Should any arbitration hearing need to be held, it shall be held in Minneapolis, Minnesota.

If the arbitrator issues an award and a judgment is made, the judgment will be binding and will be entered in court in the State of Minnesota. The only award that can be issued to you is a refund of any payment made to Asha Coaching & Consulting for the applicable Program. You are not permitted to seek additional damages, including consequential or punitive damages

12. Limitation of Liability:
Priyanka Rao and Asha Coaching & Consulting are not responsible or liable in any way for any and all damages you receive directly or indirectly from your participation in the Program. We do not assume liability for damages, injuries, harm, death, misuse of (or failure to properly use) the Program or its content, due to any act, or failure to act, by you. IN NO EVENT SHALL WE BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES.

13. PAYMENT, PURCHASE, AND PAYMENT PLAN TERMS:Â Â
A. General Payment Terms:
The full investment for Surviving to Thriving: The ADHD Reset is $997 (one-time payment).
Â
When you pay for the Program by credit card, you authorize and give permission to Asha Coaching & Consulting to charge your credit or debit card for the amount owed for payment of the Program. When you purchase the Program, your information (including credit card and contact information) may be collected by third-party payment processors including but not limited to PayPal, Stripe, Klarna, Afterpay, or other payment platforms (depending on the payment method you choose at checkout), who may have privacy policies or security practices that are different than ours. Asha Coaching & Consulting is not responsible for the payment processor’s independent policies or practices.

B. Third-Party Payment Plans:
Payment plan options may be available through third-party services such as Klarna or Afterpay at checkout. If you choose to use a third-party payment plan service, you will be subject to that service’s separate terms and conditions, payment schedule, and fees. Asha Coaching & Consulting is not responsible for managing, administering, or collecting payments made through third-party payment plan services. Any disputes, failed payments, or issues related to third-party payment plans must be resolved directly with the third-party service provider.

By choosing a third-party payment plan option, you acknowledge and agree that:
- You are entering into a separate agreement with the third-party payment service
- Asha Coaching & Consulting is not a party to that payment plan agreement
- You are responsible for understanding and complying with the third-party service’s terms
- Course access may be contingent upon successful payment through the third-party service
- Asha Coaching & Consulting reserves the right to revoke course access if notified by the payment service of payment default or failure

14. Severability:
The provisions of these Terms of Use shall be deemed severable, and the invalidity or unenforceability of any provision shall not affect the validity and enforceability of any other provision hereof. If any Section, subsection, sentence, or clause of these Terms of Use shall be adjudged illegal, invalid, or unenforceable, such illegality, invalidity, or unenforceability shall have no effect on the Terms of Use as a whole or on any Section, subsection, sentence, or clause hereof not expressly so adjudged.

15. Entire Agreement:
These Terms of Use contain the entire agreement between you and the Company. There are no other promises or conditions in any other agreement (oral or written) between you and the Company.

16. Choice of Law & Venue:
These Terms of Use shall be governed by the laws of the state of Minnesota. Any action brought by any party arising out of or from these Terms shall be brought within the State of Minnesota, County of Hennepin.

17. Asha Coaching & Consulting may update or revise these terms at any time. Any changes will be posted on the Company website and, if applicable, communicated via email to enrolled participants. Continued use of the Program constitutes acceptance of the revised terms. Clients enrolled prior to any amendments will remain subject to the version of the Terms in effect at the time of their enrollment unless material changes require updated acceptance.
By purchasing and/or participating in the Program, you implicitly signify your agreement to all of the terms in these Terms of Use. By checking the box and completing purchase, Client confirms that they have read, understood, and agreed to all terms outlined in this document. This action constitutes a legally binding electronic signature. If you do not agree to these Terms of Use, you should not enroll in or access the Program.
